By indicating its acceptance of the terms and conditions of this RebateWeb Participation Agreement (this "Agreement") User ("User") agrees to participate in the online drug rebate program, RebateWeb, ("RebateWeb") as provided by Conduent Business Services, LLC ("Conduent").

Conduent will provide User direct online access to drug rebate invoices. RebateWeb will be available to User on a 24 x 7 basis, excluding periods of regularly scheduled downtime. If User decides to terminate this Agreement, Conduent will cease to provide the information services that are the subject of this Agreement.

This Agreement is effective from the date of execution by the user. Thereafter, this agreement will automatically renew for one year, unless otherwise specified. However, either party hereto may cancel, effective at the end of the initial term or any successive term, upon at least 30 days prior written notice. In order to insure confidentiality and to meet HIPAA guidelines, User agrees to use a User ID and Password in order to access the confidential system information. Record your User ID and Password in a safe place for future reference.

User acknowledges and agrees that all information or data provided through the RebateWeb service will be treated as confidential and proprietary and shall not be used or disclosed, in whole or in part, to any person, firm, corporation, association or other entity, except as provided for in this agreement. The user further agrees to abide by the provision of state and federal statutes, Medicaid and HIPAA regulations regarding confidentiality. User will maintain appropriate written agreements with all of its employees, agents and contractor who might access the information made available to User through RebateWeb confirming their acknowledgment of the obligations of confidentiality set forth above.
