- Terms of Usage
This Agreement sets forth the terms of use by which you or your organization ("User") may utilize the RebateWeb service (the "Service") offered by Conduent Business Services, LLC ("Conduent"). By using, viewing, transmitting, caching, storing, and/or otherwise utilizing the Service and/or its contents in any way, User agrees to each and all of the terms and conditions listed below and waive any right to claim ambiguity or error in this agreement. Conduent reserves the right to change this Agreement at any time without notice and such changes will become effective immediately.
The purpose of the Service is to provide User with the ability to download/upload invoice files for drug rebate purposes. User is solely responsible for the hardware, software, and communications links required to access the service as well as maintaining the confidentiality of end user names and passwords.
Conduent is not responsible for service difficulties resulting from User's failure to possess technology adequate to use the site to its satisfaction. Furthermore, Conduent disclaims any and all liability for any electric, electronic, network, Internet, computer, hardware or software program malfunctions, failures, delays or difficulties whether or not such malfunction, failure, delay or difficulty is caused by Conduent, its employees, agents or contractors. Conduent is not responsible for incorrect or accurate entry information, whether caused by User or by any of the equipment or programming associated with or utilized in the site or by any technical or human error which may occur in the processing of any information related to the site. Conduent DOES NOT MAKE ANY WARRANTIES WITH RESPECT TO THE SERVICE PROVIDED UNDER THIS AGREEMENT AND EXPLICITLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A SPECIFIC PURPOSE. IN NO EVENT WILL Conduent BE LIABLE TO USER, ITS EMPLOYEES AGENTS OR CONTRACTORS FOR ANY DIRECT, INDIRECT, INCIDENTAL, EXEMPLARY, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT OR OTHERWISE AND EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
By acceptance of this Agreement, User gives Conduent its consent to receive electronic mail from Conduent, including important information related to User's account. Because e-mails transmitted across the Internet pass through servers that are not owned or operated by Conduent, User acknowledges that unauthorized third parties may access e-mails sent from Conduent to User. User will promptly provide Conduent with any changes to User's e-mail address (administrator of User's account will correct and make the e-mail address change) and accept electronic communications from Conduent at the e-mail address they specify.
User agrees to use third party browser software that supports Conduent' SSL protocols. Conduent is not responsible for notifying User of any upgrades, fixes, or enhancements to any such software or any compromise of data transmitted across telecommunications facilities and the Internet.
User acknowledges that it has read and agreed to all the terms and conditions contained within this Agreement.
It is the sole responsibility of User to ensure that all of its end users comply with the terms of this Agreement.
Unless indicated otherwise, all names, logos, and trademarks are owned by Conduent and cannot be used by anyone for any purpose without the express written agreement of Conduent.
Links to other sites that Conduent thinks may be of interest to User are provided solely User's convenience. By providing these links, Conduent is not endorsing, sponsoring or recommending such sites or the materials disseminated by or services provided by them, and are not responsible for the materials, services, and other situations at or related to or from any other site.
